Terms of Service

1. Agreement & Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you") and DigiTech Solutions ("we", "us", "our"), a digital services business based in Beaumont, Alberta, Canada.

By submitting our contact form, engaging our services, or paying a deposit, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our services.

These Terms apply to all services provided by DigiTech Solutions including website design, Google Ads management, SEO retainers, email marketing setup, logo design, Google Business Profile optimization, and website maintenance.

2. Services

DigiTech Solutions will provide the services agreed upon in a written proposal, invoice, or email confirmation. The specific scope, deliverables, timeline, and pricing for each project will be outlined prior to commencement of work.

We reserve the right to decline any project at our discretion, including projects that conflict with our values or applicable law.

Note: Quoted timelines (e.g. "7-day delivery") begin from the date we receive your deposit and all required content, information, and onboarding details. Delays caused by the Client in providing required materials will extend timelines accordingly.

3. Payment Terms

The following payment terms apply to all projects unless otherwise agreed in writing:

Each project includes one (1) round of revisions after the initial delivery, unless a different number is specified in the project proposal. A "revision" means reasonable changes to the existing design or content — it does not mean a complete redesign or scope change.

6. Intellectual Property & Ownership

Upon receipt of full payment, the Client owns all final deliverables including the website design, copy, and source files provided. Before full payment is received, all work remains the intellectual property of DigiTech Solutions.

Monthly service agreements (maintenance plans, SEO retainers, Google Ads management) are provided on a month-to-month basis with the following terms:

11. Limitation of Liability

To the maximum extent permitted by applicable Canadian law, DigiTech Solutions' total liability to the Client for any claim arising from or related to our services shall not exceed the total fees paid by the Client for the specific project or service giving rise to the claim in the 3 months preceding the claim.

The Client agrees to indemnify and hold harmless DigiTech Solutions and its personnel from any claims, damages, losses, or expenses (including legal fees) arising from:

Both parties agree to keep confidential any proprietary or sensitive business information disclosed during the service relationship. DigiTech Solutions will not share your business strategies, pricing, customer data, or other confidential information with third parties without your consent, except as required by law.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Province of Alberta, Canada, without regard to conflict of law principles. Any dispute arising from these Terms or our services shall be resolved as follows:

  1. Good faith negotiation: The parties will first attempt to resolve any dispute informally by written notice and good-faith discussion within 30 days.
  2. Mediation: If negotiation fails, the parties agree to attempt mediation through a mutually agreed mediator before pursuing litigation.
  3. Jurisdiction: If legal action is necessary, it shall be brought in the courts of Alberta, Canada, and both parties consent to that jurisdiction.

15. Changes to These Terms

DigiTech Solutions reserves the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. For active clients, significant changes will be communicated by email with 14 days' notice. Continued use of our services after changes constitutes acceptance of the updated Terms.
